Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and SketchWow Inc. ("VidWow", "we", "us", or "our"), and govern your access to and use of the VidWow website at vidwow.ai, our applications, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. The Service
VidWow is an AI-assisted platform for creating whiteboard-style and explainer videos from text prompts, images you provide, and scripts. Some features rely on third-party artificial-intelligence providers to generate images, text, and speech. Features, plans, and limits may change over time.
3. Accounts
You agree to provide accurate information and to keep it up to date. You are responsible for your login credentials and for all activity under your account, and you agree to notify us promptly of any unauthorized use. You may not share an account except as permitted under a team or organization plan.
4. Plans, Credits, Billing, and Refunds
Plans. The Service offers a free tier and paid subscription tiers. The features and limits of each plan are described at sign-up or on our pricing page.
Billing. Paid plans are billed on a recurring (monthly or annual) basis and automatically renew until cancelled. You authorize us and our payment processor to charge your payment method for each renewal. Fees are exclusive of taxes, which you are responsible for.
Cancellation. You may cancel at any time. Cancellation takes effect at the end of your current billing period, and you retain access until then.
Credits. Certain AI features (such as AI image generation) consume credits; unless stated otherwise, one credit equals one AI image generation. Credits have no cash value, are non-transferable, and are non-refundable. Unused monthly credits may expire at the end of each billing cycle, and credit add-ons may be removed upon downgrade or cancellation.
Refunds. Subscriptions are non-refundable once a billing period begins, with one exception: if you are a consumer and you request a refund within 14 days of your initial purchase and have not consumed any AI credits during that period, we will refund that payment in full. We do not provide prorated or partial refunds for unused time, downgrades, or consumed credits. Where payment is made through an app store or other third-party platform, that platform's refund policy may also apply.
Price changes. We may change fees with reasonable advance notice; changes apply to your next billing cycle.
5. Your Content and Output
"Your Content" means anything you upload or input, including images, text, prompts, and audio. "Output" means the videos, images, audio, and other media the Service generates for you.
You retain ownership of Your Content, and, as between you and us, you own the Output you create, subject to these Terms and to the terms of any third-party assets or AI providers involved in generating it. We do not claim ownership of Your Content or Output, and we do not sell them.
License to us. You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, and display Your Content and Output solely to operate, secure, support, and improve the Service.
Your representations. You represent that you have all rights and permissions necessary to upload Your Content and to create the Output; that Your Content does not infringe or violate any third party's intellectual-property, privacy, publicity, or other rights; and that you have the consent of any identifiable person appearing or depicted in Your Content.
6. AI-Generated Output
The Service uses artificial intelligence. Output is generated automatically and may be unexpected, inaccurate, incomplete, or contain errors (including in timing, spelling, or rendering). The same or similar inputs may produce different results, and Output may not be unique — other users may generate the same or similar Output. Output may not be eligible for intellectual-property protection.
You are responsible for reviewing Output before relying on or publishing it. Where required by applicable law, you must clearly indicate that Output is AI-generated.
7. Voice Cloning and Likeness
Certain plans offer voice features, including voice cloning, which create a synthetic voice from a voice recording. You may use these features only with a voice you have the legal right to use. If the voice belongs to another person, you must have that person's express consent. You may not use voice or likeness features to impersonate, defraud, deceive, or harass any person.
When you use voice cloning, we will ask you to confirm these rights at the time of use. Voice recordings and derived voiceprints are biometric information handled as described in our Privacy Policy.
8. Acceptable Use
You agree not to use the Service to create, upload, or distribute content that:
- is illegal or violates any law or regulation;
- infringes or misappropriates any intellectual-property, privacy, publicity, or other right;
- impersonates any person or entity, or creates deceptive "deepfake" content, without consent and a lawful basis;
- is defamatory, harassing, abusive, hateful, or threatening; is pornographic, obscene, or sexually exploitative; or sexualizes or endangers minors;
- promotes violence, self-harm, or illegal goods, or spreads misinformation or disinformation campaigns; or
- contains malware, or attempts to disrupt, overload, reverse-engineer, scrape, or circumvent the Service, its rate limits, or its security.
We may review, remove, or restrict content, and may suspend accounts, that violate these rules.
9. Third-Party Services
The Service integrates third-party providers, including AI model providers, a payment processor, and email, storage, and analytics services. Your use may be subject to their terms, and we are not responsible for third-party services. See our Sub-processors page and Privacy Policy for details.
10. Our Intellectual Property
The Service, including its software, design, and branding, is owned by us and our licensors. We grant you a limited, revocable, non-transferable license to use the Service in accordance with these Terms. If you provide feedback, you grant us a license to use it without obligation to you.
11. Beta and Early Access
Some features, or the Service as a whole, may be offered as a beta or early-access release. Such features are provided "as is", may change, be unstable, or be discontinued, and are not covered by any service-level commitment. Do not rely on beta features for critical use.
12. Disclaimers
To the maximum extent permitted by law, the Service and all Output are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability.
13. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid to us in the twelve (12) months before the event giving rise to the liability, or (b) one hundred Canadian dollars (CAD $100).
14. Indemnification
You agree to indemnify and hold harmless SketchWow Inc. and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from Your Content or Output, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
15. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or others. Upon termination, your right to use the Service ends; provisions that by their nature should survive — including content licenses you have granted, disclaimers, limitation of liability, and indemnification — will survive. We will not refund fees where we terminate for your breach.
16. Changes to These Terms
We may update these Terms from time to time. For material changes, we will provide reasonable notice, for example by email or in-product notice. Your continued use of the Service after the changes take effect constitutes acceptance.
17. Governing Law and Disputes
These Terms are governed by the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts located in the Province of Ontario, Canada for any dispute not subject to mandatory local consumer protections.
